Terms of Service
Effective date: May 28, 2026
These Terms of Service ("Terms") govern your use of the website located at runsmartlogistics.com and the delivery services provided by RunSmart Logistics Inc.("RunSmart", "we", "us", or "our"). By submitting a quote request, booking a delivery, or using our website, you agree to these Terms in full. If you do not agree, do not use our services or website.
1. About RunSmart
RunSmart Logistics Inc. is a B2B cargo van delivery company serving the Greater Toronto Area (GTA) and surrounding Ontario communities. Our principal place of business is:

2. Services
RunSmart provides same-day, scheduled, and recurring B2B cargo van delivery services within Ontario, Canada. Services currently available include:
- Same-day B2B delivery
- Scheduled delivery
- Recurring route delivery
- Dedicated cargo van service
- Urgent and rush delivery
- Medical and dental supply delivery
Services not listed above are not currently available. We reserve the right to accept, decline, or cancel any delivery request at our sole discretion.
3. Eligibility
Our services are available to registered businesses and commercial clients only. By requesting a quote or booking a delivery, you represent that you are authorized to act on behalf of a lawfully operating business entity. We do not provide residential consumer delivery services.
4. Quotes and Pricing
- All prices quoted are in Canadian dollars (CAD) and are exclusive of applicable taxes (HST) unless stated otherwise.
- Quote requests submitted through our website are not binding commitments. A quote becomes a confirmed booking only when acknowledged in writing by RunSmart.
- Pricing is based on the information provided at the time of the quote request. Material changes to cargo size, weight, pickup/delivery location, or timeline may result in adjusted pricing.
- Fuel surcharges, tolls, or special handling fees may apply and will be disclosed prior to confirmation.
5. Booking and Cancellation
- Confirmed bookings may be cancelled without charge if notice is provided at least 2 hours before the scheduled pickup time.
- Cancellations with less than 2 hours' notice may be subject to a cancellation fee equivalent to up to 50% of the quoted delivery fee.
- No-shows (driver arrives and cargo is not ready or address is inaccessible) may be billed at the full quoted rate.
- RunSmart reserves the right to cancel a booking in the event of vehicle unavailability, unsafe road conditions, or circumstances beyond our control (see Section 10 - Force Majeure).
6. Client Responsibilities
The client (you) is responsible for:
- Ensuring cargo is properly packaged and ready for pickup at the agreed time
- Providing accurate pickup and delivery addresses, contact names, and access instructions
- Ensuring cargo does not contain prohibited items (see Section 7)
- Ensuring that receiving parties are available and authorized to accept the delivery
- Obtaining any required permits, licences, or documentation for regulated goods
7. Prohibited Goods
The following items may not be transported using RunSmart services under any circumstances:
- Dangerous goods classified under the Transportation of Dangerous Goods Act (Canada)
- Explosives, flammable liquids (beyond incidental quantities), or compressed gases
- Illegal substances or contraband
- Live animals
- Human remains
- Currency or negotiable instruments
- Firearms or weapons (without prior written authorization and applicable permits)
- Any goods whose transport would violate applicable federal, provincial, or municipal law
Transporting prohibited goods without disclosure is a material breach of these Terms and may result in immediate termination of services and referral to appropriate authorities.
8. Liability and Cargo Claims
- RunSmart carries commercial auto insurance and general liability insurance appropriate for our operations.
- Our liability for loss or damage to cargo is limited to the lesser of: (a) the documented replacement value of the damaged or lost item, or (b) $500 CAD per shipment, unless additional declared value coverage has been arranged in writing prior to pickup.
- Claims for loss or damage must be reported in writing within 48 hours of delivery. Claims submitted after this period may be declined.
- RunSmart is not liable for damage to fragile, improperly packaged, or inherently fragile goods unless special handling was agreed in writing.
- RunSmart is not liable for indirect, consequential, or economic loss (including lost profits or business interruption) arising from delayed, damaged, or lost deliveries.
9. Payment Terms
- Payment terms will be specified in your service agreement or invoice.
- Default payment terms are net 15 days from the invoice date unless otherwise agreed in writing.
- Overdue invoices may be subject to a late payment fee of 1.5% per month (18% per annum).
- All payments must be made in Canadian dollars (CAD).
- RunSmart reserves the right to suspend services for accounts with overdue balances exceeding 30 days.
10. Force Majeure
RunSmart is not liable for delays or failure to perform due to circumstances beyond our reasonable control, including but not limited to: severe weather, road closures, traffic accidents, government orders, labour disputes, vehicle mechanical failure, or acts of God. In such cases, we will make reasonable efforts to notify you promptly and reschedule the delivery.
11. Website Use
You may use our website for lawful purposes only. You agree not to:
- Submit false or misleading information through any form
- Attempt to gain unauthorized access to our systems or data
- Use automated tools to scrape, crawl, or overload our website
- Impersonate RunSmart or any of our employees
12. Intellectual Property
All content on runsmartlogistics.com - including text, logos, graphics, and code - is the property of RunSmart Logistics Inc. or its licensors and is protected by Canadian copyright law. You may not reproduce, distribute, or modify any content without our prior written consent.
13. Privacy
Your use of our website and services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please read it carefully.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Ontario.
Before initiating legal proceedings, both parties agree to make reasonable good-faith efforts to resolve disputes through direct negotiation. Disputes that cannot be resolved informally within 30 days may be referred to mediation through the ADR Institute of Ontario.
15. Changes to These Terms
We may update these Terms from time to time. The effective date at the top of this page reflects the date of the most recent revision. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms. Material changes that affect existing service agreements will be communicated to affected clients directly.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy and any written service agreements signed between you and RunSmart, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or understandings regarding the subject matter herein.
